DOMACON AUCTIONS Terms of Use and Membership Agreement

1. STIPULATION FOR USE OF DOMACON AUCTIONS WEBSITES AND SERVICES

By accessing or viewing, or through your continued use of the DOMACON AUCTIONS websites and services in any manner, you expressly acknowledge and agree to consent to the DOMACON AUCTIONS Terms of Use and Membership Agreement, and all applicable laws or regulations governing these websites and services. The Terms of Use and Membership Agreement and Privacy policies apply only to your use of the DOMACON AUCTIONS websites and services, and do not change or alter any other agreement or contract that may exist between you and any of the companies that DOMACON AUCTIONS may be associated or affiliated with.
 
Please read the content of the DOMACON AUCTIONS Terms of Use and Membership Agreement and Privacy Policy carefully. Collectively they define the terms and policies that govern the relationship between DOMACON AUCTIONS and you, and your use of the DOMACON AUCTIONS websites and services, and constitute a legally binding agreement between you and DOMACON AUCTIONS. Whether or not you proactively indicate by ticking a checkbox, clicking a button or other means which DOMACON AUCTIONS may provide for you to acknowledge that you have read and accept the DOMACON AUCTIONS Terms of Use and Membership Agreement and policies, your continued use of the DOMACON AUCTIONS websites or services shall indicate that you agree to be bound by these terms, agreements and policies. If you do not want to be bound by these terms, agreements and policies, you must stop using all DOMACON AUCTIONS websites and services.
 
DOMACON AUCTIONS reserves the right, in its sole discretion, to modify or change these Terms of Use and Membership Agreement at any time without prior notice to you. Your continued use of any DOMACON AUCTIONS websites or services following the posting of revisions to the Terms of Use and Membership Agreement, constitutes your acceptance of the revised Terms of Use and Membership Agreement and policies in their entirety.


2. INTRODUCTION

We welcome you to the DOMACON AUCTIONS community and marketplace and encourage you to join by becoming a DOMACON AUCTIONS member. By becoming a member, you will be able to use the markeplace to engage in selling and buying items of interest to you and individuals with similar interests and objectives. We desire that you will find the capabilities, functions, features and services provided by DOMACON AUCTIONS useful and easy to use, and that you will be happy and satisfied through your use of them.
 
DOMACON AUCTIONS is owned and operated by WHATDOMAINS.COM, LLC headquartered in Los Angeles, California, USA, and doing business as DOMACON AUCTIONS at the web addresses DOMACONAUCTIONS.COM, DOMACON.COM and possibly others.


3. SECURITY AWARENESS

We strive to protect and secure your personal information by implementing security measures at our websites and by informing you of measures that you can take to reduce the risk of unintended or malicious exposure. Thus, to minimize you being spoofed through email phishing attacks or other malware that may appear to be legitimate communications from DOMACON AUCTIONS, we strongly encourage you to always verify that any links provided in emails or on web pages, and when you navigate to a DOMACON AUCTIONS website, that the Uniform Resource Locator (URL) address specifically points or resolves to either DOMACONAUCTIONS.COM or DOMACON.COM.


4. DEFINITION OF TERMINOLOGY

Our definition of the following terminology is provided to add clarity to the references made herein.
  • “Personal information” is information which you provide through the DOMACON AUCTIONS websites, which personally identifies you. Such information can include but may not be limited to your name, email address, billing information, and other information you provide.
  • “You” and “your” refers to you as a user of the DOMACON AUCTIONS websites and/or as a registered member of the DOMACON AUCTIONS marketplace.
  • “Us”, “we”, “our”, “marketplace” and “DOMACON AUCTIONS” refers generally and implicitly to the DOMACON AUCTIONS websites.
  • “User” refers to someone who accesses the DOMACON AUCTIONS websites through a web browser, or other electronic or non-electronic means, and specifically to “you” when you visit, use, access or otherwise provide information via the DOMACON AUCTIONS marketplace.
  • “Member” refers to a user who has completed the DOMACON AUCTIONS membership registration process, agreed to and accepted our Terms of Use and Membership Agreement, has confirmed their registration of a DOMACON AUCTIONS membership account, and whose membership account is current and active. 
  • “Visitor” refers to a user who is not a logged-in member, and who only has the ability to view the publicly available portions of the websites and may include the ability to view auction listings.
  • “Seller” refers to an individual or entity that posts an item for sale through an auction listing.
  • “Buyer” refers to an individual or entity that places the winning bid on an auction listing for an item described in an auction listing posted by the seller of the item.
  • “Cookies” refers to small data files that are stored on a web appliance that is used to access a website over the internet.
  • "Membership Agreement" herein refers to our Terms of Use and Membership Agreement.


5. PURPOSE

Our Terms of Use and Membership Agreement and policies establish the agreement between you and DOMACON AUCTIONS for your use of the DOMACON AUCTIONS websites and services, which include hardware and software technologies and tools. When accessing the DOMACON AUCTIONS marketplace websites and services, you acknowledge, accept and agree to comply with all of the stated or referenced terms and policies within the Terms of Use and Membership Agreement and policies.


6. OVERVIEW AND USE OF THE DOMACON AUCTIONS MARKETPLACE

The DOMACON AUCTIONS marketplace provides services and tools in an auction setting to enable members to both list items for sale and to bid on items listed for sale. The sales and purchase of auction items is executed directly by and between the seller and winning bidder (a.k.a. buyer) of such item listings.
 
While you are using the DOMACON AUCTIONS marketplace, you agree and warrant that you will abide by all of the DOMACON AUCTIONS marketplace terms and policies and not commit any of the acts described in the following bulleted list. If you should commit any of the acts in the following bulleted list, your actions will constitute a violation of our Terms of Use and Membership Agreement and policies of the DOMACON AUCTIONS marketplace.
 
You hereby agree and warrant that you will not commit any of the following acts:
  • Violate any provision of the DOMACON AUCTIONS marketplace terms or policies or this Membership Agreement.
  • Use DOMACON AUCTIONS websites if any of the following conditions apply to you:
    • You are unable to form legally binding contracts.
    • You are under 18 years old.
    • You are not the rightful owner of items you list for sale.
  • Fail to pay for items for which you are the winning bidder or you otherwise commit to purchase.
  • Fail to deliver items sold by you after the buyer has paid for the item in full.
  • Refuse to complete or obstruct the completion of any escrow transaction related to any auction item that you either list for sale in the DOMACON AUCTIONS marketplace or for which you have placed the winning bid.
  • Contact other members without their consent.
  • Interfere with listings created by other members.
  • Distribute spam or unsolicited email to other members.
  • Harass other members, visitors or the DOMACON AUCTIONS staff.
  • Collect information about other members or the DOMACON AUCTIONS staff.
  • Perform actions that undermine the DOMACON AUCTIONS member feedback system.
  • Post or provide inaccurate, misleading, false, deceptive, defamatory, or libelous content.
  • Commit acts to circumvent, interfere or disrupt the DOMACON AUCTIONS websites, web pages, servers, databases, connections, services or any other DOMACON AUCTIONS facilities or data in any way or by any means.
  • Attempt or act to distribute malware or viruses or insert or distribute links to malware or viruses of any kind or by any means.
  • Post any intellectual property or other content that does not belong to you.
  • Copy, reproduce, reverse engineer or make use of software, data, artwork, graphics, capabilities, functions, features, services provided on the DOMACON AUCTIONS websites.
  • Violate or infringe upon the legal rights of holders of copyright, trademark, patent or any other types of intellectual property owned or licensed by DOMACON AUCTIONS, or any other members or holders of intellectual property rights that do not belong to you.
  • Engage in or perform illegal activities or violate any applicable law, statute, ordinance, or regulation including those governing financial services, consumer protections, unfair competition, anti-discrimination, false advertising, Uniform Commercial Code, or any others that apply to you.
  • Except where granted written authorization by DOMACON AUCTIONS to do otherwise, use the DOMACON AUCTIONS marketplace, websites, data, artwork, graphics, applications, information or software for any purpose other than for you to perform the following actions:
    • List items for sale as auction items in the DOMACON AUCTIONS marketplace.
    • Bid on auction items listed for sale in the DOMACON AUCTIONS marketplace.
    • Manage the functions, features and services provided by your DOMACON AUCTIONS member account.
    • Place a link on your website or websites that points to your DOMACON AUCTIONS auction listing.

Member accounts which remain unconfirmed beyond thirty (30) days or that have been inactive for more than three (3) years will be subject to cancelation.


7. MEMBERSHIP TERMINATION

We reserve the right to refuse service, terminate the member accounts of you and any other member or discontinue your access to all or part of our websites for any reason at our sole discretion for any reason and at any time effective immediately, temporarily or permanently with or without notice.


8. POLICY ENFORCEMENT

When an issue arises regarding you or other members as buyers or sellers, we may review and consider your feedback and account histories, and specific circumstances when applying the policies of DOMACON AUCTIONS. If we should determine that you are or have been engaged in abuse of the DOMACON AUCTIONS marketplace in any way, we may respond by terminating, suspending, prohibiting or limiting all of your member accounts and your access to the DOMACON AUCTIONS marketplace and related services. We may also remove content, special account status, cancel and remove, eliminate coupons and discounts, and take the necessary technical and legal actions to prevent you from accessing the DOMACON AUCTIONS marketplace and our services.  We reserve the right to refuse service or terminate the member accounts of you and any other member for any reason at our sole discretion.


9. AMENDMENTS TO TERMS OF USE AND MEMBERSHIP AGREEMENT AND POLICIES

We may amend our Terms of Use and Membership Agreement and policies at any time. You acknowledge that whenever you use any DOMACON AUCTIONS websites or services, you are agreeing to comply with our Terms of Use and Membership Agreement and policies. Each time you create, update or bid on an auction listing, you will be required to affirm that you agree to the DOMACON AUCTIONS Terms of Use and Membership Agreement and policies.


10. LISTING CREATION, UPDATING, AND SELLING CONDITIONS

When listing an item to the DOMACON AUCTIONS marketplace, you agree to comply with all DOMACON AUCTIONS terms and policies which define that:
  • You as a seller are solely responsible for the accuracy and content of your auction listing, which is expected to describe the item you place at auction within the DOMACON AUCTIONS marketplace. When you create or update an auction listing, you as a seller are solely responsible for the entries of content of any field where you can either enter data or select an option, including the title and description fields, all numeric field values, all checkbox and radio box selections, all fields requiring a file upload, all drop-down field selections, etc.
  • You as a seller warrant that you are presently in full compliance with and shall continue to comply with all applicable federal, state, and local laws, statutes, ordinances and regulations relating to the licensing, distribution, and sale of any products that you promote or sell at DOMACON AUCTIONS.
  • When any content of your listing violates the DOMACON AUCTIONS terms and policies in any way we may terminate your listing.
  • The optional "Add-on" enhancement features, which you can add when either posting or updating your auction listing, can be modified but cannot be deleted or removed once the listing is posted to the DOMACON AUCTIONS marketplace.
  • The enhancement features that we provide as options to enhance your listing include the option titled “Featured listing Title in Search Results - Add-on”. Selecting this enhancement option will prioritize your auction listing such that it will appear as one of the “Featured” auction listings that get displayed at the top of the search results on our Multi-bidding and Auctions Listings Search Results webpage whenever your auction listing meets the search filter criteria selected by the member that is viewing the listings search results, and will not appear with the non‑featured listings search results.
  • Your listing will end on the date and at the time that you select using our Auction End-Time™ selection feature when you create your auction listing. The date and time when your auction listing ends cannot be changed once your auction listing posts in the DOMACON AUCTIONS marketplace.
  • We reserve the right to remove an auction listing that violates our terms and policies. If your auction listing should be removed due to this reason, we will notify you by sending an email to your registered email address with an explanation.
  • So as to minimize effects of search engine results due to metatags or URL (Uniform Resource Locator) links placed in your listing, such metatags and URL links may be removed or altered.

11. BIDDING AND PURCHASING CONDITIONS

When bidding on an item in the DOMACON AUCTIONS marketplace, you agree to comply with all DOMACON AUCTIONS terms and policies which define that:
  • Prior to you placing any bid and thus committing to purchase and pay for the respective listed item should your bid be the winning bid, you as a buyer are responsible for reading the listing contents including title, description and all content provided by the seller in their auction listing and ensuring that it is an item you wish to bid on.
  • When you bid on an item described in a seller’s auction listing, and when your bid results in being the winning bid, you will be entered into a binding contract with the seller whereby you commit to complete the purchase of the item presented in the respective auction listing.
  • The seller of an item that is sold through auction listing is responsible for delivering the item to the winning bidder (e.g. buyer) through an escrow transaction in accordance with the terms of the escrow transaction after the buyer has made all payments and paid for the item.
  • The Uniform Commercial Code § 2-401(2), California Commercial code Division 2. Sales, and code sections specified in the applicable escrow company instructions apply to the transfer of ownership of the auction item between the buyer and the seller.
  • All bids placed on auction items in the DOMACON AUCTIONS marketplace are proxy bids.
  • Bid increments, which are based on the auction item's current bid price range, define the respective bid amount that will be applied to create a revised bid that then becomes the next bid price of an active auction.
  • If an auction item bidder places a proxy bid of an amount higher than the current bid (a.k.a. price) price, a proxy bid will be placed automatically. Any bid amount remaining after deducting the bid increment amount will be the remaining proxy bid amount. When another bidder places a bid which is lower than the remaining proxy bid balance, a proxy bid will continue to be placed automatically on behalf of the bidder up to the point that the remaining proxy bidding balance is less than the current bid increment amount and the current bid price is higher than the last proxy bid.
  • If a bidder's proxy bid amount, for the auction item being bid on, is less than or equal to the reserve price and greater than or equal to the minimum bid increment, then the full proxy bid amount will be placed.
  • A bidder’s proxy bidding activity stops when the bidder’s maximum proxy bid price is reached or exceeded, or the auction ends.


12. OVERVIEW OF FEES AND PAYMENT METHODS

We charge fees to you as a seller to list auction items for sale in the DOMACON AUCTIONS marketplace. The fees cover your use of the various auction listing features and services provided to you for listing your item for sale in the DOMACON AUCTIONS marketplace. From time to time fees may change. Any increases to the standard fees will be posted on the DOMACON AUCTIONS websites at least 7 days in advance of the application of the fee changes.
 
You as a seller are responsible for all transaction fees arising out of creating, inserting and otherwise posting an auction listing to the DOMACON AUCTIONS marketplace, and for a final value fee as well as all escrow related fees when your auction listing has ended with a winning bidder. PLEASE CONSIDER ALL OF THE ASSOCIATED FEES THAT YOU AS A SELLER ARE RESPONSIBLE FOR WHEN SETTING YOUR AUCTION LISTING RESERVE PRICE AND WHEN OPTING TO USE OUR Dynamic Reserve™ FEATURE.
 
You must have a payment method on file in order to create auction listings and post them to the DOMACON AUCTIONS marketplace. You must pay all fees and any applicable taxes by the payment due date. If your payment method fails to allow payment of your due fees or your account becomes past due, we may collect the amounts owed us by charging another payment method that you have on file with us. You will be responsible for payment of our costs to retain collection agencies and legal counsel and you will be subject to a late payment fee as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule. You will also be subject to other disciplinary actions in accordance with our terms and policies. When it becomes necessary to retain a collection agency to collect funds due us, we may also report information about your account to credit bureaus. As a result, payments that you have not made or other payment defaults on your account become subject to being reflected in your credit report. If you wish to dispute information that we report to a credit bureau, which may include Experian, Equifax or TransUnion, contact us. If you wish to dispute information reported to a credit bureau by a collection agency, you will need to contact the collection agency directly.


13. LISTING SERVICES AND ASSOCIATED FEES

DOMACON AUCTIONS provides sellers with a rich set of basic and optional features for enhancing your auction listing to make it more eye-catching, appealing and enticing to bidders. Additional fees apply when adding optional features to a basic auction listing. The features and associated fees for creating a stand-out auction listing as well as the available optional features and associated fees are described in the following paragraphs. When you create an auction listing, the fee associated with each optional enhancement feature is prominently and clearly displayed so that you will be able to see the fee that you will be charged when adding each respective optional feature. Your total auction listing creation fees for all options that you select will be summarized and presented to you on the auction listing creation webpage along with the Insertion Fee. A representative fee list for the Final Value Fee that will be applied when your auction closes with a winning bidder is also presented to you on the auction listing creation webpage. Prior to posting your auction listing, you will be presented with the Auction Listing Confirmation Pop‑up which will clearly display the cumulative total fee for inserting your auction listing and the fees for all optional features you have selected.  If you should proceed-on from the Auction Listing Confirmation Pop‑up display and actually post your listing to the DOMACON AUCTIONS marketplace, your account will be charged the listing Insertion Fee and the respective fee for each optional feature you have selected.

AS A COURTESY TO YOU AS A SELLER FOR YOUR CONVENIENCE WHEN CREATING AUCTION LISTINGS, WE MAY EXTEND AN INTEREST FREE COURTESY LOAN TO COVER YOUR ACCOUNT BALANCE WHEN IT TEMPORARILY DROPS BELOW ZERO. THE MAXIMUM LOAN AMOUNT THAT WE MAY EXTEND TO YOU DEPENDS ON YOUR MEMBERSHIP SUBSCRIPTION LEVEL. YOU ARE RESPONSBILE FOR PAYMENT OF ALL AUCTION LISTING FEES IN ACCORDANCE WITH THE TERMS OF THIS Terms of Use and Membership Agreement. IF YOUR ACCOUNT BALANCE IS NEGATIVE AND YOUR LISTING FEES RESULT IN YOUR ACCOUNT BALANCE EXCEEDING THE MAXIMUM LOAN AMOUNT PROVIDED FOR YOUR MEMBERSHIP SUBSCRIPTION LEVEL, YOU WILL BE REQUIRED TO FUND OR REFILL OF YOUR ACCOUNT IN ORDER TO CONTINUE USING OUR LISTING SERVICES.

 Auction End-Time™ Selection
DOMACON AUCTIONS provides an auction feature called Auction End-Time™. The Auction End-Time™ feature is unique and available only at DOMACON AUCTIONS. The unique scheduling function of the Auction End-Time™ feature enables auction listings with similar listing title characteristics to end at scheduled times on scheduled dates. Your auction listing title string, which you as a seller enter when creating an auction listing, qualifies your listing for a scheduled timeslot in the DOMACON AUCTIONS marketplace. The listing title is also referred to as the “Listing Title Qualifier String™” or LTQS™.

The Auction End-Time™ feature provides you as a seller with the ability to list your item so that your auction listing ends on a selected date and time along with items with similar LTQS™ characteristics. The date and time selections that are available for your LTQS™ will be displayed when you enter your Listing Title Qualifier String™ (LTQS™). The Auction End‑Time™ feature provides for an improved seller experience because it provides for your auction listings to be scheduled at priority times to achieve peak exposure to the highest possible number of bidders.
 
The Auction End-Time™ feature provides you as a bidder with a significantly improved bidder experience because you will be able to know exactly the days of the week and times of day when listings with a LTQS™ that meet characteristics you are interested in bidding on will be ending. For example, if you are interested in watching for and bidding on any auction listings for say a domain name that is all numeric, with a character length of 4 or 5, and ending with the “.com” TLD extension, then through use of the DOMACON AUCTIONS Auction End‑Time™ feature, you will be able to check the schedule for the specific days of the week and times of day when auction listings of this type are scheduled to end. You as a bidder then know to be present in the DOMACON AUCTIONS marketplace at the specific schedule times to bid on multiple auction listings of the these types of listings.
 
DOMACON AUCTIONS, at its sole discretion, establishes the Auction End-Time™ timeslot date and time criteria and schedules, thus regulating the types of auction listings that can be posted to the DOMACON AUCTIONS marketplace. If the LTQS™ of an item that you are attempting to list does not meet the criteria for any available scheduled date and time timeslots, you will not be able to list the item in the DOMACON AUCTIONS marketplace. We also establish a limit on the number of auction listings that can be posted for each of the scheduled Auction End-Time™ timeslots. The number of available listing slots for any given date and time will be displayed under each corresponding radio button. When a particular Auction End Time™ timeslot becomes full with listings, you will not be able to select that timeslot.
 
The Auction End-Time™ timeslot schedules criteria apply to the LTQS™ that you enter. The criteria include, but may not be limited to the following:
  • Number of characters entered as part of the LTQS™ (i.e. LTQS™ character length).
  • Type of characters entered into the LTQS™ (e.g. alpha, numeric or special characters).
  • Sequence of characters entered for the LTQS™.
  • Number of timeslots available.

The length, sequence and type of characters entered by you as a seller will affect the schedule of available Auction End-Time™ timeslots that will be presented to you to select from when creating an auction listing. The DOMACON AUCTIONS “Mister Whistlehead”™ LTQS™ Help Pop-up display will provide you with guidance on the LTQS™ character entries allowed.
 
The LTQS™ can be composed of any combination of upper and lower case alphabetic, numeric and select special characters. Once an auction listing is posted to the DOMACON AUCTIONS marketplace, the LTQS™ character sequence cannot be changed. However, at any time while the auction listing is active, any lower or upper case alphabetic characters can be exchanged for the upper and lower case counterpart of the same character.
 
Currently, there is no fee for your use of the Auction End-Time™ feature.

Dynamic Reserve™ Feature Description and Seller Fees
You as a seller will have the option of adding a Dynamic Reserve™ price to your auction listing at the time the auction listing is created and posted in the DOMACON AUCTIONS marketplace, and at any time thereafter prior to the close of the auction listing. Each time you as a seller add or change the reserve price for an auction listing, you will be charged a fee as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule. The fee for each reserve price addition or change can also be found on the listing creation web page next to the reserve price field. Once the reserve price feature has been added, the reserve price can be modified as described above, but neither the reserve price entry nor its associated fee can be removed.
 
IMPORTANT NOTICE:  Through the use of our Dynamic Reserve™ feature, at any time while the auction listing is active in the DOMACON AUCTIONS marketplace, the seller has the option of either INCREASING or DECREASING the reserve price for their listing. However, when the reserve price is applied, it will always be higher than the starting price established by the seller when the auction listing is created. As a bidder, your bid is your commitment to complete the purchase of the auction item should your bid be the winning bid. BE ADVISED THAT WHEN A SELLER HAS APPLIED A RESERVE PRICE TO AN AUCTION LISTING, THEY HAVE THE OPTION OF LOWERING THEIR RESERVE PRICE AT ANY TIME WHILE THE AUCTION IS ACTIVE. IF YOUR BID IS THE HIGHEST BID ABOVE THE RESERVE PRICE WHEN THE AUCTION LISTING CLOSES, YOUR BID WILL BE DECLARED THE WINNING BID.

Sellers are permitted to bid on their own auction, which is another form of Dynamic Reserve™, in accordance with the Uniform Commercial Code Article 2, Sales (2002), Part 3 - UCC-3-228, part 4 which states “If the auctioneer knowingly receives a bid on the seller's behalf or the seller makes or procures such a bid, and notice has not been given that liberty for such bidding is reserved, the buyer may at his option avoid the sale or take the goods at the price of the last good faith bid prior to the completion of the sale. This subsection shall not apply to any bid at a forced sale.” Any bid placed by a seller on their own auction is a proxy bid as are all bids from any bidder. You hereby acknowledge and agree that sellers of items in the DOMACON AUCTIONS marketplace are permitted to bid on their own auctions. When you as a seller bid on your own auction, you will be charged a fee as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule.
 
Seller Auction Listing Enhancement Features Fees
Sellers of auction items at DOMACON AUCTIONS may add optional features to enhance their auction listing. The auction listing enhancement features that are available include but may not be limited to the following:
  1. Bold listing Title in Search Results - Add-on
  2. Highlighted listing Title in Search Results - Add-on
  3. Featured listing Title in Search Results - Add-on
  4. Listing Public Message Board - Add-on
  5. Listing Title Extension - Add-on
  6. Listing Description - Add-on
  7. Listing Picture - Add-on
  8. Listing Promo Billboard - Add-on

One or more of four panels will be displayed when the respective option is selected by checking the associated checkbox. These are the “Listing Title Extension - Add‑on”, “Listing Description ‑ Add‑on”, “Listing Picture ‑ Add‑on” and “Listing Promo Billboard - Add‑on” fields. When you select any of these four fields you will be required to either enter text or upload a picture. Refer to the illustration below titled “EXAMPLE View of Expanded Add-on Enhancement Selection Display Panels”, which depicts how the panels for the respective Add-on Enhancement options expand and are displayed when the selected.

You as the seller will be charged a fee for Add-on enhancement features as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule.
The fee for an enhance option is also displayed on the listing creation web page next to the respective option.

Once a listing has been posted to the DOMACON AUCTIONS marketplace, enhancement features cannot be removed. One or more enhancement features can be added either when the auction listing is created, or at any time prior to the close of a listing. Add-on enhancement features that have entry fields, uploadable pictures or option selections can be modified at any time.
 
The fee for the “Listing Promo Billboard - Add-on” enhancement feature depends on two options selected by the seller, which specify the number of display lines that will appear above and below the LTQS™ field when the auction listing that has this feature enabled is displayed on the Multi‑bidding and Auction Listings Search Results webpage.

Seller Auction Listing Insertion Fee
The seller of an auction item will be charged an Insertion fee when an auction listing is created and posted in the DOMACON AUCTIONS marketplace. The fee will be as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule, and will be based on the greater of the Starting or Reserve price entries. The Insertion Fee charged can also be found at the bottom of the auction listing creation and updating web page.
 
Seller Auction Listing Final Value Fee
The seller of an auction item will be charged a Final Value fee when an auction item is sold with a winning bidder. The fee charged will be as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule, and will be based on a graduated percentage of the final sale price. The Final Value Fee schedule can also be found at the bottom of the auction listing creation and updating web page. No Final Value Fee is charged if an auction item does not sell.
 
Seller Payment Services Fee
You as a seller will be charged a fee for adding funds to your account or for using a credit card to make payments for the seller fees described previously. The fee charged covers our fees for your use of the respective company that processes your payment or the credit card transaction that you use, and will be as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule.
 
Escrow Transaction Brokerage Fee
You as a seller will be charged a transaction brokerage fee when we create an escrow transaction between you as a seller and the buyer, or you as a buyer and the seller of an auction item.  Please refer to section 14 - USE OF THIRD PARTY ESCROW COMPANIES, ASSOCIATED SERVICES AND FEES for details regarding the Escrow Transaction Brokerage fee.


14. USE OF THIRD PARTY ESCROW COMPANIES, ASSOCIATED SERVICES AND FEES

Through your use of any of the DOMACON AUCTIONS websites you acknowledge, agree, represent, warrant and consent to the following:
  • The sale and purchase of all auction items listed on the DOMACON AUCTIONS websites will be completed through an escrow transaction processed by a third party escrow company. A third party escrow company is an independently owned and operated commercial company licensed to conduct escrow transactions. All of the escrow companies that we make available to you are independent commercial entities whose business is to process escrow transactions. No escrow company is part of DOMACON AUCTIONS, and the escrow companies we make available to you operate independently of the DOMACON AUCTIONS marketplace.
  • DOMACON AUCTIONS provides access to select third party escrow companies for your convenience in completing the sale and purchase of auction items. Each escrow company that we make available for your use in completing a sale and purchase transaction has terms and conditions stipulated by the respective escrow company. You agree to abide by and be bound by the terms and conditions of the escrow company that you use to process any escrow transaction in which you are engaged as the seller or buyer. DOMACON AUCTIONS is not responsible for the terms and conditions established by any escrow company that processes an escrow transaction for you.
  • We may make available one or more of the following escrow companies for you to select for processing of your escrow transaction.

    • DN.com
    • EscrowDomains.com
    • 4.cn
    • Sedo.com
    • SnapNames.com
    • SafeFunds.com
  • It is your responsibility to create and have a verified user account at any of the escrow companies you select when creating an auction listing or when bidding on an auction item, and ultimately that you will use to process an escrow transaction for you. It is your responsibility to review and agree to the terms and conditions stipulated by each escrow company that you select prior to either posting an auction listing or placing a bid on an auction listing in the DOMACON AUCTIONS marketplace.
  • Sellers, bidders and buyers are required to have an active verified user / member account at any escrow company selected or used to conduct the escrow transaction of an auction item, and to abide by the associated escrow terms and conditions of the selected escrow company and any escrow transaction. For you to participate in either the creation and listing of an auction item for sale, or in the bidding and purchase of an auction item, you are required to have an active and verified account at each escrow company that you select during the auction listing creation and bidding processes.
  • The available escrow companies that you can use in completing the sale or purchase of an auction item will be displayed to you as a seller on the auction listing creation web page, and to you as a bidder on the auction bidding web pages. When an auction listing is created or updated, you as a seller will be required to enter your email address that you use for logging into your user / member account for each escrow company you choose to offer to buyers as an option in your listing. When bidding on an auction item, you as a bidder will be required to enter your email address that you use for logging into your user / member account for the one escrow company you choose from the list of escrow companies offered by the seller as displayed in the seller’s auction listing.
  • Upon the close of an auction with a winning bidder (the buyer), DOMACON AUCTIONS will automatically create an escrow transaction at the escrow company selected by the seller and buyer through the escrow company selection process. The user / member account email addresses that both the seller and buyer enter for the one escrow company that they have selected to process the escrow transaction will be used to create the escrow transaction at the selected escrow company. The seller and buyer email addresses of their respective escrow company user / member accounts will be transmitted to the selected escrow company by electronic means as part of the escrow transaction record creation process following the close of the auction listing where the buyer is the winning bidder. The escrow company user / member account email addresses are not publicly revealed to anyone until the escrow transaction is created, and then are revealed only to the other party involved in the escrow transaction.
  • The buyer and seller of an escrow transaction are required to agree to the escrow transaction terms and conditions, and complete the sales and purchase that each party committed to by either listing the auction item and thus committing to sell the item, or by bidding on the respective auction item and thus agreeing to purchase the item by placement of the winning bid.
  • Once the escrow transaction is created, you will be required to perform the following steps:
    • Login to your escrow account and approve the escrow transaction.
    • Respond to any additional requests or perform actions required by the escrow company to conduct your escrow transaction.

  • Escrow companies used by DOMACON AUCTIONS may provide for the buyer to make monthly escrow payments instead of one single escrow payment. If an escrow company allows buyers to make monthly escrow payments, DOMACON AUCTIONS will provide to the seller of the auction item the option to select the maximum number of monthly escrow payments that the seller is willing to offer to bidders up to a maximum of 60 months. Bidders will be required to select a monthly escrow payment period from the list of payment period options provided by the seller. When creating the auction listing, the seller will be required to select to accept either one payment in full for the total winning bid price, or the maximum number of monthly payments they want to offer to bidders. From the list of monthly payment options offered by the seller, bidders will be required to select either to make one payment in full for the total winning bid price, or the number of monthly payments the buyer wants to make. An additional monthly processing fee is typically imposed by every escrow company for making multiple payments instead of one single payment. The monthly payment fee charged by an escrow company will typically be deducted from the total amount distributed to the seller. The total winning bid amount for an auction, less all applicable escrow and broker fees, will be divided by the number of monthly payments selected by the buyer to calculate the escrow payment amount that the buyer will be required to pay each month. When the payment schedule selected requires that the buyer make multiple monthly payments, a monthly payment fee will be charged by the escrow company. Be aware that the final monthly payment may be slightly less than the other monthly payments due to the total amount due not being evenly divisible by the duration months.
  • Escrow transactions for auction items sold in the DOMACON AUCTIONS marketplace will use an escrow handling process that will require the seller to transfer the auction item to the selected escrow company following the close of the item auction. The escrow company will hold the auction item securely in escrow until the buyer has paid for the item in full. When the entire escrow transaction balance has been paid, the escrow company will then send or transfer the auction item to the buyer who will be allotted time to confirm and inspect the item. The item “Inspection Period” is one (1) day after the buyer confirms receipt of the auction item. When either the buyer indicates acceptance of the auction item, or the escrow company determines that the buyer has received the item in accordance with the escrow terms and conditions, the escrow company will release the funds due the seller. The full description of the escrow process performed by each escrow company used by DOMACON AUCTIONS can be found on the website of each escrow company respectively.
  • All payments made by the buyer for the auction item won by the buyer will be paid to the one escrow company that the respective seller and buyer have selected to process their escrow transaction for the auction item being sold and purchased respectively. The escrow company will accept and apply the buyer’s single payment, or multiple payments if that option is available and selected, towards the escrow transaction balance in accordance with the terms and conditions applicable to the escrow transaction.
  • When we create an escrow transaction between you as a seller and the buyer of an auction item, we charge you a transaction brokerage fee.  The escrow transaction broker fee amount is the same irrespective of the escrow company used to conduct the escrow transaction, and will be deducted by the escrow company from the amount paid into escrow by the buyer prior to distribution of funds to you. Our escrow transaction broker fee schedule is as described in Table 15‑1 - DOMACON AUCTIONS Fees Schedule.
  • An escrow fee will be charged by the escrow company that you use to process your escrow transaction in accordance with the fee structure established by the respective escrow company. The types of services provided and the fees charged by each escrow company are typically different between different escrow companies. The fees charged by an escrow company for each type of service they provide can be found on the respective escrow company's website.
  • You acknowledge and agree that it is your sole responsibility as a seller or buyer to understand the fees that you will be charged by the escrow company you choose to process your escrow transaction for the services the escrow company will provide to you.
  • IF EITHER THE BUYER OR SELLER WHO HAS ACCEPTED AN ESCROW TRANSACTION CANCELS THE ESCROW TRANSACTION OR THE BUYER FAILS TO MAKE PAYMENT, THE ESCROW FEE WILL BE CHARGED TO THE PARTY THAT CANCELS THE ESCROW TRANSACTION, OR IN THE CASE OF BUYER FAILING TO MAKE PAYMENT THE BUYER WILL BE CHARGED THE ESCROW FEE, OR AS OTHERWISE ESTABLISHED BY THE RESPECTIVE ESCROW TERMS AND CONDITIONS.
  • IT IS AGAINST THE TERMS AND POLICIES OF DOMACON AUCTIONS FOR A SELLER TO LIST AN AUCTION ITEM FOR SALE WHICH CLOSES WITH A WINNING BIDDER AND THEN NOT COMPLETE THE PURCHASE, OR FAIL TO AGREE TO THE ESCROW TRANSACTION, OR CANCEL THE ESCROW TRANSACTION. WE MAY TERMINATE YOUR MEMBERSHIP ACCOUNT IF YOU AS A SELLER FAIL TO COMPLETE THE ESCROW PROCESS OR CANCEL THE ESCROW TRANSACTION, OR YOU FAIL TO COMPLETE THE SALE OF AN ITEM WHICH YOU POSTED FOR SALE IN AN AUCTION LISTING IN THE DOMACON AUCTIONS MARKETPLACE AND FOR WHICH THERE WAS A WINNING BIDDER WHO COMPLETED THEIR REQUIRED ACTIONS FOR THE RESPECTIVE ESCROW TRANSACTION.
  • IT IS AGAINST THE TERMS AND POLICIES OF DOMACON AUCTIONS FOR A BIDDER TO PLACE THE WINNING BID FOR AN AUCTION ITEM AND THEN NOT PAY FOR OR COMPLETE THE PURCHASE, OR FAIL TO AGREE TO THE ESCROW TRANSACTION, OR CANCEL THE ESCROW TRANSACTION. WE MAY TERMINATE YOUR MEMBERSHIP ACCOUNT IF YOU AS THE WINNING BIDDER AND BUYER FAIL TO COMPLETE THE ESCROW PROCESS OR CANCEL THE ESCROW TRANSACTION, OR YOU FAIL TO PAY FOR AND COMPLETE THE PURCHASE OF AN AUCTION ITEM ON WHICH YOU PLACED THE WINNING BID AND FOR WHICH THE SELLER HAS COMPLETED THEIR REQUIRED ACTIONS FOR THE RESPECTIVE ESCROW TRANSACTION.

16. CONTENT

Through your use of any of the DOMACON AUCTIONS websites you acknowledge, agree, represent, warrant and consent to the following:
  • You agree to grant to DOMACON AUCTIONS the worldwide, irrevocable, non-exclusive, perpetual and sub-licensable rights to any intellectual and non-intellectual property to any and all data of any type including but not limited to data, text, names, monikers, titles, descriptions, comments, discussion, feedback, pictures, graphics, software, algorithms, or any other types of data, referred to collectively as “content” that you enter anywhere on the DOMACON AUCTIONS websites or otherwise provide when you represent yourself as a seller, bidder, buyer or other third party. You agree to waive any rights of legal action against DOMACON AUCTIONS or those we assign or sub-license in perpetuity to the free use of your content or to the rights to your content for any purpose that we chose.
  • For all content that you provide on our websites, you warrant that you own or control the data and intellectual property rights permitting your application and use of said content in accordance with the provisions of the DOMACON AUCTIONS terms and policies. You further warrant that your rights to the content that you post on our websites does not infringe upon the rights or intellectual property rights of any other party.
  • You solely are responsible for all content that you post in any way and by any means, fashion or form in the DOMACON AUCTIONS marketplace. DOMACON AUCTIONS neither assumes any liability nor any responsibility for any content of any type that you or any other member or party posts in the DOMACON AUCTIONS marketplace.
  • DOMACON AUCTIONS strives to consistently offer reliable high quality services and content. However, we cannot guarantee that any DOMACON AUCTIONS marketplace service or content will be accurate, complete, current nor available due to factors not within our control. Potential factors include, but are not limited to, issues with computing equipment, servers, power sources, technologies, routers, switches, network connectivity, software, data transmissions, human decisions and actions, malware, viruses, hacking and other factors of various sorts.   • The names “DOMACON AUCTIONS”, "DOMACONAUCTIONS.COM",“DOMACON”,  “DOMACON.COM” and other phrases, designs, markings, logos and any other data content that we own are the exclusive intellectual property of DOMACON AUCTIONS and are our copyrighted, trademarked or service marked data and intellectual property, whether or not any such data content bears a marking.
  • Without explicit written permission by DOMACON AUCTIONS, no content from our websites or other sources may be duplicated, distributed nor used by your or any other party.


17. INTELLECTUAL PROPERTY CONTENT

DOMACON AUCTIONS wants to ensure that the content of any auction listing created by any seller does not infringe upon any copyright, trademark or other intellectual property rights of the rights owner. If you own rights that you believe are or have been violated or infringed upon in accordance with Section 512(c) of Title 17 of the United States Code, please notify us in writing via email so that we can take the appropriate action.


18. METHODS OF CONTACT AND WHEN WE MAY CONTACT YOU

The DOMACON AUCTIONS staff may contact you at any telephone number or email address that you have provided to us through your membership account or otherwise for the following purposes:
  • As part of contacting you to address any aspect of your account
  • As part of our efforts to troubleshoot issues with your account
  • As part of our efforts to follow our dispute resolution process
  • As part of our debt resolution process involving you
  • Conduct a survey where your input is requested
  • As necessary to provide quality servicing of your account
  • As necessary when enforcing our terms and policies, applicable law, any provisions of our Membership Agreement, or any and all other agreements implied or otherwise that we may have with you.
  • For the purpose of informing you of short term promotions, coupon deals, or other offers to communicate the availability of products in which you may be interested.
We implement technologies and work to protect your personal information, which we will use, collect, disclose or retain, in accordance with the DOMACON AUCTIONS Privacy Policy. For purposes of training and quality control, we may monitor or record telephone conversations that our agents or representatives have with you and your representatives.


19. PRIVACY OF OTHER MEMBERS INFORMATION

You agree and warrant that you will not use any information that we may provide to you regarding any other member of the DOMACON AUCTIONS marketplace for any purpose other than for you to execute the sale or purchase of an auction item for which you are either the seller, buyer or winning bidder.


20. RETURNS AND CANCELLATIONS

DOMACON AUCTIONS does not allow the cancelation of a purchase or the return of auctioned item that a buyer has committed to purchase by placing the winning bid on the respective item. All sales are final. However, you may be able to negotiate directly with the seller who may be willing to allow the return or cancelation of an item you as a bidder have won. It is against the DOMACON AUCTIONS terms and policies to bid on an auction item if you do not intend, have sufficient financial position or possess the wherewithal to complete the purchase of the item should your bid be the winning bid. This is particularly true given that sellers are provided the Dynamic Reserve™ feature, which will allow them to set the reserve price lower than a current bid at any time prior to the close of the respective auction.
 
When an item is delivered to the buyer and is not as described in the seller's auction listing, the seller will be held responsible for paying for all shipping costs for the return of the item to the seller, and you authorize us to invoice your DOMACON AUCTIONS account via an automatic payment method that you have on file (e.g. credit card, account balance, etc.) for these fees.


21. SHIPPING OF AUCTION ITEMS

Shipping of any physical auction item is the sole responsibility of the seller. DOMACON AUCTIONS is not responsible for shipping any auction item that any seller lists for sale or sells in the DOMACON AUCTIONS marketplace.


22. THIRD-PARTY SITES

We may provide you with links to third-party websites, which are not controlled by DOMACON AUCTIONS. Our inclusion these links does not imply our endorsement of the websites or an association with the operators of these websites. You acknowledge and agree that DOMACON AUCTIONS is not responsible for the content, accuracy, legality, decency, data rights compliance, or any other aspect of links to or content of third‑party websites.


23. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

DOMACON AUCTIONS is unable to guarantee that any of our websites or services will be available on a continuous basis. Due to various factors that can affect website services as discussed previously in this Membership Agreement in the section titled “CONTENT”, we cannot guarantee that our auction listing posting or bidding systems will always be functional nor that any auction listing you create as a seller, or any bid you place as a buyer, will placed on a timely basis.
 
The DOMACON AUCTIONS marketplace and associated websites and services are provided to you "AS‑IS" and on an "AS‑AVAILABLE" basis, and you acknowledge and agree the DOMACON AUCTIONS websites and services will be used by you at your own risk.
 
All implied or express warranties, as well as terms and conditions are excluded by DOMACON AUCTIONS to the extent permitted by applicable law. You agree and warrant that DOMACON AUCTIONS will not be liable for any damages or losses DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT OR OTHERWISE that you or your representatives incur.  With the exception of jurisdictions where the exclusion of warranties or damages may not apply, you warrant that you will not hold DOMACON AUCTIONS, or any of our parent companies or subsidiaries, responsible for losses of any kind which you may incur including consequential damages, loss of money, loss of reputation, loss of goodwill, loss of tangible or intangible asset or item, and any and all other losses not itemized that arise from any of the following situations or factors, or any other situation or factors not listed here:
  • Your use of our websites or services.
  • Your inability to use our websites or services due to delays, disruptions, outages or closure of our websites or services, breaches, malware, viruses or hacking activities which could disrupt our websites, auction listings or services.
  • Any guidance provided by DOMACON AUCTIONS staff, websites or services.
  • Any content provided by anyone including us, you, other members, or third parties.
  • Any software bugs, miscalculations, currency conversion errors, layouts, designs, colors, displays, fonts or inaccuracies or errors of any kind in our websites or services.
  • Any inaccuracies, inconsistencies and irregularities related to the creation, posting, run time, close time, duration, time and date differences, information displayed, the order of listings presented on the Multi-bidding and Auction Listings Search Results webpage, bidding or bid placement or any other problem with any current, future or closed auction listing that could exist or arise.
  • Any computer hardware or equipment that becomes damaged while being connected physically or virtually to any DOMACON AUCTIONS websites or services.
  • Any actions taken by DOMACON AUCTIONS to investigate you or your account, any other member or member account, and to enforce our terms, policies and Membership Agreements.
  • Any loss of service or your ability to use the DOMACON AUCTIONS websites as a result of any changes to our websites, marketplace, connectivity, servers, software, equipment, terms, policies, practices, location, Membership Agreements or any other condition or factors.

You acknowledge and agree that in jurisdictions where warranty or damages cannot be excluded, that if we should be advised of possible liability, the liability will be limited to the minimum of either the fees you have incurred that are directly associated with the liability or $50 USD.


24. INDEMNITY AND HOLD HARMLESS

You acknowledge and agree to release and hold harmless from damages, claims and demands of any type DOMACON AUCTIONS and all of our employees, staff, owners, officers, agents, parent companies, affiliates, partners, joint ventures, subsidiaries or any other business entity associated in any way with DOMACON AUCTIONS if you should breach any of the following bulleted items:
  • The DOMACON AUCTIONS Membership Agreement.
  • The intellectual property rights or other rights of any other member or third party.
  • Any applicable laws through your use of the DOMACON AUCTIONS websites and services.

or if you should have any sort of dispute with DOMACON AUCTIONS, or any member, user or visitor of DOMACON AUCTIONS. Further, you acknowledge, agree to and warrant that you waive any rights or protections that may otherwise limit the coverage of this release.

 

25. ARBITRATION

You and DOMACON AUCTIONS both agree that any and all claims and disputes that may arise or have arisen between DOMACON AUCTIONS and you, or between you and any third-party agent of DOMACON AUCTIONS, which in any way relates to or arises out of current or previous versions of our Membership Agreement or the actions of DOMACON AUCTIONS, its agents or any products or services we offer, shall be resolved exclusively through final and binding arbitration. The United States of America (USA) Federal Arbitration Act governs the interpretation and enforcement of the statements herein.
 
General Arbitration Mandate
DOMACON AUCTIONS very much desires to work with you to resolve any issues, disputes and claims expeditiously and outside of potentially lengthy and costly arbitration proceedings. However, we recognize that arbitration may become necessary when issues, disputes and claims between you and DOMACON AUCTIONS cannot be resolved satisfactorily on the own accord of the parties involved.
 
Arbitration shall be conducted through an established Alternative Dispute Resolution (ADR) provider mutually selected by the parties involved in an arbitration proceeding. Arbitration proceedings shall be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Consumer Arbitration Rules where applicable, as modified by this Membership Agreement. The AAA establishes arbitration rules, which can be found on the AAA’s website at www.adr.org or by calling (800) 778‑7879. One or more arbitrator individuals may preside over arbitration as governed by AAA rules. For any claim, excluding claims for injunctive or other equitable relief, arising under this Membership Agreement the ADR provider and the parties involved shall agree to the following:
 
  1. Where the total amount of the award sought is less than $50,000.00 USD, DOMACON AUCTIONS may elect to resolve the dispute in the most cost effective manner through binding arbitration that is non-appearance-based, but if circumstances warrant are subject to the arbitrator's discretion to require an in-person hearing.
  2. Arbitration shall be facilitated and conducted by means of any of the following methods: telephone, email, internet or paper submissions.
  3. Arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed to by the parties or required by the arbitrator.
  4. The arbitrator will make decisions and apply the terms of this Membership Agreement as a court would.
  5. Either party that desires to seek restitution for a claim, and whom intends to seek arbitration if reasonable and satisfactory restitution cannot be attained outside of arbitration, agrees to give the other party the opportunity to understand and work to resolve the claim. The first step towards resolving a claim or dispute is for the initiating party to email or send via postal mail to the other party a notice titled “Dispute with Intent to Seek Restitution or Arbitration”. The content of the notice must include the following entries related to the DOMACON AUCTIONS member who is a party of the dispute:
    1. Member’s user account login identifier (a.k.a. account moniker).
    2. Member’s email address used by member in their membership account.
    3. Member’s full name, address and phone number.
    4. A succinct description of the claim or dispute for which relief is being sought.
    5. A succinct description of the relief being sought.

We will send any such notice to you to the email and/or postal addresses that you have entered as part of your membership account. Thus, it is your responsibility to ensure that your account information is current and correct. When necessitated, arbitration is to be initiated by filing a case at www.adr.org.
 
  1. The party initiating an arbitration must complete the arbitration form in accordance with AAA rules and procedures, and the must mail a copy of the completed form to the opposing party.
  2. If DOMACON AUCTIONS initiates arbitration against you, we will send a copy of the completed arbitration form to the postal address that you provide in your DOMACON AUCTIONS user account.
  3. Arbitration information exchange shall be limited to the reasonable production of relevant, non-privileged documents explicitly referred to by a party for the purpose of supporting facts relevant to stated positions and contentions.
  4. Any settlement details outside of arbitration that is agreed to between DOMACON AUCTIONS and you will not be disclosed to the arbitrator.
  5. The arbitrator will decide the substance of all claims and will honor privilege in accordance with applicable law.
  6. Arbitration requires the payment of fees for filing, administration and for labor of the arbitrator. All fees, and the party held responsible for payment of these fees, will be governed by the AAA's rules. Fees are payable by the responsible party even when a settlement is reached outside of any completed arbitration proceedings.
  7. DOMACON AUCTIONS and you acknowledge and agree that any award judgement by the arbitrator shall be final and binding, and that judgment on the award rendered by the arbitrator may be entered in any court with jurisdiction.

Arbitration for International Transactions
For DOMACON AUCTIONS members residing outside of the jurisdiction of the USA, a dispute, controversy or claim arising out of or relating to this Membership Agreement must be submitted to the International Chamber of Commerce (ICC) in accordance with the rules of the International Chamber of Commerce in effect at the time of filing for arbitration. DOMACON AUCTIONS and you agree that arbitration is to be administered by the ICC subject to the provisions stated in this Membership Agreement. A single arbitrator, who will preside over the arbitration proceedings, must be selected by the parties involved within 45 business days of receipt of the “Dispute with Intent to Seek Restitution or Arbitration” notice. Otherwise an arbitrator shall be appointed by the ICC in accordance with ICC rules. The arbitration proceedings shall accommodate no travel outside of the USA for DOMACON AUCTIONS representatives and agents, and the arbitration proceedings shall be the only forum for resolution of the claim or dispute described in the issued notice. Any award determined by the arbitrator shall be final and binding, and judgment thereon may be entered by any court with jurisdiction. DOMACON AUCTIONS and you both agree irrevocably to waive any present or future objection to the arbitral court’s decisions, jurisdiction, venue and proceedings, and to waive any rights to trial or trial by jury through a judicial proceeding. The prevailing party to which are the arbitrator renders an award, shall be entitled to recover reasonable costs and attorney's fees incurred as a result of the arbitration filing, proceedings and processes, and to enforce all rights establish under this Membership Agreement. This Membership Agreement shall be governed the laws of the state of California without regard to the United Nations Convention on Contracts for the International Sale of Goods.
